CORPORATE AND REAL ESTATE TRANSACTIONS

Mr. Del Propost’s practice emphasizes corporate law, business transactions, employment law, and real estate matters. He represents clients in all aspects of forming and operating corporations, limited liability companies, partnerships and other business entities, and provides guidance on matters such as corporate governance and buy-sell arrangements among business owners. He counsels businesses on employment law compliance issues, and in negotiating and documenting employment agreements, employee handbooks, and severance agreements. Mr. Del Propost also assists employers in disciplining and terminating employees and complying with ADA obligations. He also has extensive experience in negotiating and documenting business asset sales, independent contractor agreements, distributorship agreements, confidentiality agreements, and settlement and release agreements resolving pre-litigation business disputes. Mr. Del Propost’s expertise also encompasses a variety of sophisticated real estate matters, including acquisitions and dispositions, commercial leasing, and secured lending transactions.

Mr. Del Propost received a juris doctorate degree from Pepperdine University School of Law, where he graduated magna cum laude. He received a bachelor or arts degree from the College of Wooster in Wooster, Ohio, where he graduated with honors, and Phi Beta Kappa.
